By purchasing services from Kelly Deily Coaching LLC (the “Coach”), you (the “Client”) acknowledge that you have read, understood, and agreed to the following Terms of Service.
1. Services Provided
Kelly Deily Coaching LLC provides career coaching, professional development coaching, leadership coaching, and related career services, which may include resume development, LinkedIn optimization, interview preparation, job search strategy, networking strategy, salary negotiation coaching, and other services agreed upon between the Coach and Client.
Coaching sessions are generally conducted virtually via Zoom on mutually agreed-upon dates and times.
The specific services included in an individual engagement will be outlined in the service or package purchased by the Client.
2. Scope of Coaching Services
Coaching is a collaborative and advisory service designed to help Clients develop strategies, strengthen professional skills, make informed career decisions, and take action toward their goals.
Coaching does not include:
- Recruiting or sourcing job opportunities on behalf of the Client
- Applying to positions on the Client’s behalf
- Guaranteeing interviews, job offers, promotions, salary increases, or other employment outcomes
- Performing work or projects for the Client’s current or prospective employer
- Providing legal, financial, medical, psychological, or mental health advice
- Providing unlimited or on-demand consulting outside scheduled coaching sessions
Recommendations and strategies provided during coaching are intended to support the Client’s decision-making. The Client remains responsible for determining which actions, opportunities, and decisions are appropriate for their individual circumstances.
3. Client Responsibilities
Successful coaching requires active participation from the Client.
The Client agrees to make reasonable efforts to:
- Attend scheduled sessions on time and be prepared to participate
- Complete mutually agreed-upon preparation or action items when applicable
- Communicate honestly regarding goals, challenges, and progress
- Take responsibility for career decisions, job search activities, communications, applications, interviews, negotiations, and other actions taken outside coaching sessions
The Coach may provide recommendations, feedback, strategies, and resources, but implementation remains the responsibility of the Client.
4. Fees and Payment
Payment is due in full before services begin.
Invoices are generally issued electronically through QuickBooks, and payments are processed securely through the payment options provided with the invoice.
Coaching sessions and other services will not begin until required payment has been received.
5. Coaching Packages
When a Client purchases a package containing multiple coaching sessions, the package is intended to be completed within the timeframe communicated at the time of purchase or within a reasonable period based on the structure of the engagement.
Clients are responsible for scheduling and using their sessions within the applicable timeframe.
Unused sessions are not redeemable for cash and may not be transferred to another person.
Significant periods of inactivity or lack of communication from the Client may result in the coaching engagement being considered inactive or concluded.
6. Cancellation, Rescheduling, and No-Shows
The Coach understands that schedules occasionally change. Clients who need to reschedule are asked to provide at least 24 hours’ notice whenever possible.
Multiple cancellations or rescheduling requests made with less than 24 hours’ notice may result in the affected session being considered used and therefore not eligible for rescheduling or refund.
If a Client misses a scheduled session without providing prior notice (“no-show”), the session will be considered forfeited and will not be eligible for a refund or replacement session.
The Coach understands that genuine emergencies can occur. In the case of an emergency, a one-time exception allowing a session to be rescheduled or refunded may be granted at the Coach’s discretion.
If the Coach must cancel or reschedule a session, the Client will not lose that session and will be offered an opportunity to reschedule.
7. Refunds
Because coaching services involve reserving professional time and capacity for each Client, payments for services and coaching packages are generally non-refundable once services have begun.
No refunds will be provided for completed coaching sessions, no-shows, or services that have already been delivered.
Any exception to the refund policy will be considered on an individual basis and remains at the discretion of Kelly Deily Coaching LLC, except where otherwise required by applicable law.
If Kelly Deily Coaching LLC determines that it is appropriate to discontinue an engagement before all prepaid services have been provided, any refund or credit for unused services will be determined based on the circumstances of the engagement and services already completed.
8. Communication Between Sessions
Clients who purchase coaching packages may receive reasonable email support between scheduled sessions when such support is included in the purchased package.
Between-session communication is intended for brief questions, clarification, or matters directly related to the coaching engagement. It is not intended to replace scheduled coaching sessions or provide ongoing, on-demand consulting.
Topics requiring substantial discussion, strategy development, document review, problem-solving, or coaching may be reserved for the Client’s next scheduled session or may require an additional paid session.
Response times may vary based on the Coach’s schedule, weekends, holidays, travel, and other professional commitments.
9. Professional Boundaries and Termination of Services
Kelly Deily Coaching LLC reserves the right to discontinue a coaching engagement if the Coach determines that continuing the professional relationship is no longer appropriate, productive, or consistent with the agreed-upon scope of services.
Reasons may include, but are not limited to:
- Repeated failure to attend scheduled sessions
- Repeated failure to communicate
- Requests for services substantially outside the agreed-upon scope
- Inappropriate or disrespectful communication or conduct
- Expectations that are inconsistent with the nature of coaching
- Circumstances in which the Coach determines that another professional or type of service would better meet the Client’s needs
Whenever reasonably appropriate, the Coach will communicate concerns with the Client before terminating an engagement.
If an engagement is terminated, any financial obligation relating to unused prepaid services will be handled in accordance with the refund provisions above and applicable law.
10. Confidentiality
Information shared by the Client during coaching sessions will be treated as confidential and will not be intentionally disclosed to third parties without the Client’s permission, except when disclosure is required by law.
Because coaching is conducted electronically, the Client acknowledges that no method of electronic communication, video conferencing, email communication, or electronic data storage can be guaranteed to be completely secure.
11. Resume, LinkedIn, and Other Career Documents
When the Client purchases resume writing, LinkedIn optimization, cover letter development, or another written career service, the Client is responsible for providing accurate and complete information regarding their education, employment history, accomplishments, credentials, and other professional information.
The Coach may assist with positioning and presentation but will not knowingly include false, misleading, or fabricated information in professional materials.
The Client is responsible for reviewing completed materials and confirming the accuracy of all information before using or distributing them.
Career documents and LinkedIn services do not guarantee interviews, employment, advancement, or other specific outcomes.
12. Intellectual Property and Coaching Materials
Worksheets, exercises, frameworks, templates, presentations, resources, and other materials created by Kelly Deily Coaching LLC and provided as part of coaching services are intended for the Client’s personal use.
Unless otherwise agreed in writing, these materials may not be reproduced, distributed, sold, published, or used for commercial purposes without permission from Kelly Deily Coaching LLC.
Career documents specifically created for the Client, including resumes, cover letters, and LinkedIn content, may be used by the Client for their personal professional and career purposes.
13. No Guarantees
Career and professional outcomes depend on numerous factors outside the Coach’s control, including the Client’s actions, qualifications, experience, preparation, market conditions, employer decisions, economic conditions, hiring practices, and other circumstances.
Kelly Deily Coaching LLC does not guarantee employment, interviews, job offers, promotions, salary increases, career advancement, or any other particular result.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Kelly Deily Coaching LLC will not be liable for indirect, incidental, consequential, or special damages arising from coaching services or career decisions made by the Client.
To the fullest extent permitted by applicable law, any liability arising from services provided by Kelly Deily Coaching LLC will be limited to the amount paid by the Client for the services giving rise to the claim.
15. Acceptance of Terms
By purchasing services from Kelly Deily Coaching LLC, the Client acknowledges that they have had the opportunity to review these Terms of Service and agree to be bound by them.
Payment of an invoice constitutes acceptance of these Terms of Service when the Client has been provided access to these terms before submitting payment.
These Terms of Service may be updated periodically. The version presented to the Client at the time services are purchased will apply to that engagement
